SUBSTANTIVE COVERAGE AND OBJECTIVES OF COURSE:

This course considers federal regulation of the registration, issuance, and trading of securities in national, regional and private markets for securities. Materials in the course will examine the 1933 and 1934 Acts and other federal and state statutory provisions (for example, RICO, the Investors' Advisement Act, State Blue Sky laws) and their effects on markets for issuance and trading of securities.
