SUBSTANTIVE COVERAGE AND OBJECTIVES OF COURSE:
Contract formation, breach of contract, and remedies. Coverage includes: the meaning of
contract enforcement; the substantive bases for enforcing promises; the mechanics of offer and
acceptance; the requirement of a writing for certain types of contracts; various methods of policing
the bargain; the process of defining the scope of the contract and interpreting the contract; the
problems relating to basic assumptions made by contracting parties; third-party beneficiaries; and
assignment and delegation.
RELATION TO OTHER OFFERINGS IN CURRICULUM:
This course is fundamental to all consensual arrangements and to concepts encountered
throughout the curriculum. It is also directly relevant to Commercial Transactions (UCC articles 1
and 2) and Remedies.

Contracts is a principal area for examination in the multistate exam and for state bar
exams. It also relates to Commercial Transactions (UCC articles 1 and 2), Restitution, and
Remedies, subjects identified as areas of law tested on the Tennessee Bar Exam.
